Commercial End-User Licence Agreement (B2B EULA) for SharpMailserver
Licensor: iqmeta GmbH, Local Court of Stuttgart HRB 748338 ("iqmeta").
1. Business Customers Only (B2B)
SharpMailserver Enterprise is licensed exclusively to commercial businesses, public authorities, and institutional entities acting in their trade or profession (Section 14 German Civil Code, BGB). Consumer sales are excluded.
2. Scope of Licence & Mailbox Counting
Licences are metered strictly by active human user mailboxes across the progressive tier schedule. Domains, tenants, aliases, distribution lists, and active-active cluster nodes are included without limit. Soft-limit enforcement ensures mail flow never stops during growth spikes; excess mailboxes must be trued up within 30 days.
3. Delivery & Confidentiality of Licence Keys
Upon verified payment receipt, iqmeta delivers an Ed25519-signed licence key (sharpmailserver.license) by email. Customer shall keep both the licence key and its renewal code confidential.
4. Term, Annual Subscriptions & 30-Day Cancellation Notice (Section 12.6)
One-time 12-month licences run for 12 months without automatic renewal. Annual subscriptions renew automatically for successive 12-month periods billed by SEPA bank-transfer invoice (14-day payment term) unless cancelled at least 30 days before the end of the current term via the customer portal or by email to support@sharpmailserver.com. Cancellations received fewer than 30 days before term end take effect at the end of the following 12-month term. If a renewal invoice remains unpaid past the 30-day grace period, the subscription terminates without issuing a new key while the invoice claim remains payable.
5. Payment & Revocation on Chargeback
SEPA invoices are due net 14 days. Card payments require 3-D Secure authentication. In case of an unjustified chargeback or non-payment, iqmeta reserves the right to revoke the issued licence key.
6. Enterprise SLA & Source-Code Escrow (Tier 5+)
Licences starting at Tier 5 (10,000+ mailboxes) include binding SLA response targets and German source-code escrow coverage.
7. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Federal Republic of Germany excluding the CISG. Exclusive venue is Stuttgart, Germany.
