Reseller & Partner Terms

1. Partner program

iqmeta GmbH works with IT system houses, managed service providers (MSPs) and resellers ("Partner") who distribute SharpMailserver licenses to their business customers or operate SharpMailserver for them. Participation requires a partner agreement concluded in text form; these terms form part of it.

2. Partner levels & discounts

Partners receive a discount on the published list price, staggered by annual license volume (Registered, Silver, Gold). Exact discount rates, NFR (not for resale) licenses for internal use and demo systems are set out in the individual partner agreement. Partners are free to set their own resale prices.

3. Partner obligations

Resell only to business customers and pass on the EULA unchanged; the end customer becomes licensee.
Provide first-level support to its customers; iqmeta provides second- and third-level support.
Use the SharpMailserver name and logo only in accordance with our trademark guidelines and not register confusingly similar domains or trademarks.
Comply with export control law, anti-corruption law and data protection law (conclude its own DPA with customers where it processes data on their behalf).
Report licenses sold or operated (MSP model) monthly or quarterly as agreed.

4. MSP / hosting model

Partners operating SharpMailserver for multiple customers (multi-tenant) license per active mailbox per month based on usage reports. iqmeta may verify reports once per year with reasonable notice.

5. Enablement & support

Partners receive access to partner documentation, pre-release builds, technical training and a dedicated partner support channel. Deal registration protects partner opportunities for 90 days.

6. Term & termination

The partner agreement runs for an indefinite period and can be terminated by either party with three months' notice to the end of a calendar quarter. Licenses already sold to end customers remain valid. Otherwise the Terms and Conditions apply, in particular regarding liability, governing law (German law, CISG excluded) and jurisdiction (Stuttgart).
